Welcome to SEObyMikeGil. These Terms & Conditions govern your use of this website (mikegil.pinoyseosites.com) and any SEO services provided by Mike Gil, a freelance SEO specialist based in Maasin City, Southern Leyte, Philippines.

By accessing this website or engaging any services, you agree to these Terms & Conditions. If you don’t agree, please don’t use this website or proceed with a service engagement.

Website Use

You agree to use this website only for lawful purposes and in a way that doesn’t infringe the rights of others.

You must not:

  • Use the website in any way that damages, disrupts, or overloads the site or server
  • Attempt unauthorized access to any part of the website, server, or connected systems
  • Copy, reproduce, or redistribute website content without written permission
  • Use the website for spam, fraudulent, misleading, or harmful activity

I reserve the right to restrict or terminate access for anyone who violates these terms, without notice.

SEO Services

SEObyMikeGil provides freelance SEO services, which may include:

  • Technical SEO — site audits, crawl fixes, Core Web Vitals, site speed
  • On-Page SEO — keyword optimization, content structure, meta tags, schema
  • Link Building — outreach-based backlink acquisition, digital PR
  • Shopify SEO — Shopify-specific audits, collections, product pages, structured data
  • Full SEO Management — end-to-end monthly SEO retainer

All services are delivered based on scope, timelines, and deliverables agreed upon before work begins. Any changes to scope mid-project must be agreed in writing.

No Guaranteed Rankings

I follow proven SEO best practices, but I don’t guarantee specific outcomes. No honest SEO specialist can — and anyone who does is misleading you.

I make no guarantees regarding:

  • Specific rankings on Google, Bing, or any other search engine
  • Traffic increases within a set timeframe
  • Sales, leads, or revenue growth
  • Indexing or crawling of specific pages by search engines
  • Approval or compliance with any platform’s policies

Search engine algorithms change constantly. Rankings are influenced by many factors outside my control, including competitor activity, algorithm updates, and the client’s own website decisions.

Client Responsibilities

A successful SEO engagement is a two-way effort. Clients agree to:

  • Provide accurate, up-to-date information about their business, website, and goals
  • Grant necessary access to website platforms, Google Search Console, GA4, and other tools required for the project
  • Review and approve recommendations, content, or deliverables in a timely manner
  • Maintain their own website backups before implementing recommended changes
  • Ensure their business, products, and marketing practices comply with applicable laws

Delays caused by the client — including slow approvals, withheld access, or lack of communication — may affect project timelines. I’m not responsible for delays that stem from the client’s side.

Payments & Refunds

Payment terms are agreed upon before any work begins and outlined in the project proposal or service agreement.

Unless otherwise specified in writing:

  • Payments are due in USD (United States Dollars) unless another currency is agreed in advance
  • Invoices are due within 7 days of issue unless a different schedule is agreed
  • Payments are non-refundable once work has started, as time and resources are committed immediately
  • Late payments may result in work being paused until the outstanding balance is cleared
  • Completed deliverables (audits, reports, strategies, content) remain property of SEObyMikeGil until full payment is received

Custom SEO work, audits, strategy documents, and consulting time are non-refundable due to the nature of knowledge-based digital services. If you have a concern about a deliverable, contact me directly at mikefallergil@gmail.com and I’ll work with you to address it.

Intellectual Property

Ownership of materials depends on who created them:

  • Mike-created materials — all original strategies, reports, audits, frameworks, graphics, and content created by SEObyMikeGil remain my intellectual property until full payment is received. Upon full payment, ownership of client-specific deliverables transfers to the client unless otherwise agreed.
  • Client-provided materials — any content, images, copy, data, or assets provided by the client remain the client’s property at all times.
  • Resale restriction — clients may not resell, redistribute, or sublicense materials created by SEObyMikeGil to third parties without written permission.

This website’s content — including copy, design, case study data, and brand assets — is protected and may not be reproduced without permission.

Third-Party Tools & Platforms

SEO work often involves third-party tools and platforms. I may use tools including (but not limited to) Ahrefs, Google Search Console, Google Analytics 4, Screaming Frog, Rank Math, PageSpeed Insights, and various WordPress plugins during a project.

I’m not responsible for:

  • Outages, errors, or data inaccuracies from third-party tools
  • Platform or algorithm policy changes (including Google core updates)
  • Plugin conflicts or compatibility issues on the client’s website
  • Hosting or server issues caused by third-party providers

Where a third-party issue directly affects deliverables, I’ll communicate this promptly and adjust the plan accordingly.

Limitation of Liability

To the maximum extent permitted by applicable law, SEObyMikeGil will not be liable for:

  • Loss of revenue, profit, or business opportunities
  • Traffic drops caused by algorithm updates or platform changes
  • Search engine penalties resulting from the client’s own decisions or pre-existing issues
  • Website downtime or data loss
  • Indirect, incidental, or consequential damages of any kind

All services are provided “as is” and “as available.” My total liability in any circumstance is limited to the fees paid for the specific service in question.

This website may link to external websites for reference or resources. I’m not responsible for the content, availability, accuracy, or practices of any third-party website. Linking to a site doesn’t imply endorsement.

Confidentiality

I take client confidentiality seriously. Any sensitive business information you share — including revenue figures, business strategies, internal data, or proprietary processes — will not be shared with third parties without your consent, except where required by law.

This applies to:

  • Business and financial information shared during onboarding or project work
  • Login credentials, API keys, and access details provided for the project
  • Any materials marked as confidential by the client

I may reference project results (e.g., traffic growth, ranking improvements) in case studies or portfolio materials, but only with the client’s permission and never in a way that identifies confidential business details without consent.

Termination

Either party may terminate a service engagement. Here’s how it works:

If I terminate: I reserve the right to refuse or discontinue services at any time for reasons including abuse or harassment, non-payment, fraudulent activity, or violation of these Terms. Where possible, I’ll provide reasonable notice and deliver any completed work up to the termination date.

If the client terminates: Clients may terminate an ongoing engagement by providing written notice (email is acceptable). Any work completed up to the termination date is billable. Prepaid retainer fees are non-refundable unless otherwise agreed in the original service agreement.

Changes to These Terms

I may update these Terms & Conditions at any time. Changes will be posted on this page with a revised “Last updated” date at the top. Continued use of this website or services after changes are posted constitutes acceptance of the updated terms.

If changes materially affect an ongoing service agreement, I’ll notify the client directly.

Governing Law

These Terms & Conditions are governed by and interpreted in accordance with the laws of the Republic of the Philippines, where SEObyMikeGil operates. Any disputes that cannot be resolved directly will be subject to the jurisdiction of the appropriate courts in the Philippines.

For international clients, both parties agree to attempt good-faith resolution before pursuing any formal legal action.
